– Integrity Marketing Group, LLC

Insurance Marketing, Inc. (“Modern Insurance”), an independent marketing
organization (“IMO”) based in Wilsonville, Oregon. As part of the
acquisition, Greg Osborne, President of Modern Insurance, will become a
Managing Partner in Integrity. Financial terms of the transaction were
not disclosed.
